LLC for most businesses would be most flexible and offer liability protection.

Once you get multiple employees and different types of business held assets you might want an s-Corp. If you get humongous a C-corp. I good accountant will direct you to the best entity for your particular business.

I am a 1-person shop providing website development, analysis and SEO. Since web developers seem to be a dime a dozen today, I suggest you tap into your professional and social networks; also, a niche market can help you get work sooner rather than later. I have an S-Corp for many of the reasons stated here, but also operate another business, d/b/a, that could encounter some liability.

I've also had another S-Corp and got rid of it in an asset sale after 13 years. One thing I learned with that experience, NEVER, if you can possibly help it, is to have employees! In the last few years of that business, I hired contract employees, only. Keep in mind, with any potential liability you can always transfer the risk, that is what insurance is for.

You have a diverse background, using both sides of the brain! Impressive. Regardless of what you begin to do, put your plan in writing. This is for your benefit and new ideas may come to you during the exercise. Present your plan to your attorney and/or CPA. Consider it a start-up cost as their experience and feedback will likely be invaluable and will outweigh the check(s) you write. Good Luck!

Exclamation My Advice to You

I have owned several small businesses. It seems that with each one, no matter how hard I looked, I always found a reason to come back to using an LLC. They are simple, fast and cheap...while still providing the basic asset protections associated with incorporating.

For each one, I have used this company www.ezonlinefiling.com to help with the creation of the company. Nice guys and they have never let me down.
