For visa stamp yes. But to get H-1B visa status, one do not have to leave the country. One can change the status while in USA. USCIS sends a new I-94 on receipt of change of status. I have seen lot of people changing from F-1 or F-2 to H-1B while in USA. But once you leave the country, one needs H-1B stamp to re-enter USA.

Visas do not get denied without the reason being given. F2 if you want to move to the US.

Basically three options:
immigration intend
financial situation and concern of illegal employment
reason for travel not in perimeters of visa applied for
You were advised by the officer of the option of waiver request.
