Pretty different (the flute and saxophone are more similar). The clarinet employs and octave key, just like the saxophone. However, one note fingered in the lower register changes to a different note when the octave key is pressed (actually, I think the correct term would be a "register" key, but I'm not sure). Meanwhile on the saxophone, the note remains the same...just becomes one octave higher. Also, the clarinet employs more trill and auxiliary keys for sharps and flats than the saxophone does.
Overall though, I don't think it's a big deal; you sort of get used to it. With woodwinds, all of them are pretty different in their fingering methods. The embouchure between the clarinet and saxophone are more similar than the flute and saxophone. Personally I feel that is a bigger obstacle than fingering.
