Just about anything is doable if you're willing to contort yourself enough.
The questions to ask: is it advisable, prudent, appropriate

Find a really good business lawyer.
Then find another lawyer to check them.

Hey Phoenix New, from some of your previous posts I have read, you live a few miles from me in Chandler. I would recommend seeing a CPA with your questions. I use Nathan Fish, who has an office on Gilbert and Ryan Roads. Although he didn't do anything with my LLC's, he is a good person to go to for advice. I have only been using his services for about 9 months though, my previous CPA was in the Biltmore area, and frankly I thought he was getting out of touch with the new tax laws, etc. so I decided to find a new one. Good luck, unfortunately I do not have the answers.

The share of ownership can be any proportion you two choose. As far as one partner being outside the country, that's a different kettle of fish, one that can only be answered by a qualified professional. Not a bunch of knuckleheads on a message board.

You need both.
Think of them as your board of directors.

From my understanding adults (as being defined as those over Eighteen Years of age) being of sound mind can typically serve as Managers, Members or Managing-Members of Limited Liability Companies regardless of their geographic location or nationality. (Provided, the principals are not inhabitants of countries which have been blacklisted by the United States of America such as the Islamic Republic of Iran or the Democratic People's Republic of Korea commonly referred to as "North Korea.")

It should also be noted that certain individuals be them criminals, drug runners or terrorists are also on the blacklist. Entities such as other Limited Liability Companies may also serve as Mangers, Members and/or Managing-Members of Limited Liability Companies.

My suggestion is to consult with a competent Lawyer in good standing where ever it is you seek to form a Limited Liability Company.
