As a UT fan i'm partial to both for obvious reasons, but I gotta go with my home state and the Cotton bowl on this one. Nothing beats it in early october with the state fair atmosphere along with everything else.

Being from Pasadena I am, naturally, biased. But the Rose Bowl is where the "granddaddy" of all college games are held. It is older and more well-known than the Cotton Bowl. Plus during NCAA football season the Rose Bowl is located in a warmer climate so that it is more comfortable to watch games in than the Dallas stadium. And the setting against the San Gabriel mountains is more scenic than the area surrounding the Cotton Bowl.

Cotton Bowl is in Historic Fair Park, Fair Park has one of the largest concentration of 1930s Art Deco buildings. Fair Park is also the fairgrounds of the State Fair of Texas.

That's cool and I am sure it is a great stadium for all those reasons. The Rose Bowl is in an arroyo [Arroyo Seco] surrounded by a golf course & a swim club and nothing else. The Pasadena business district is almost a mile away. But as I pointed out, the Rose Bowl is somewhat historic and many incredible footballs games have been held there plus concerts.
the Dallas Cowboys hosted the Green Bay Packers for the 1966 NFL Championship at the Cotton Bowl.
This is not really saying much as Sun Devil Stadium (Tempe) hosted Superbowl XXX in '96, and it is a smaller stadium (all-time stadium record of 76,347 spectators for this event).
