People who seek their parties Presidential nomination want to be President. They don't see it as a possible audition for the job of Vice President should they fail in their quest.
Hillary strikes me as an "all or nothing" type of person. She is not going to sit back and play second fiddle to Barack Obama or John Edwards. Her personality is too strong and would definitely overshadow either of them if they were to become President. This is generally not seen as a plus when it comes to selecting a running mate.
Presidential candidates pick people who bring something to the table, usually something that they themselves lack. It might be lack of strength in foreign policy matters, defense issues, and so on. It seems to me that there aren't significant enough differences between her and her Democratic opponent's positions that would make having her as VP an asset in that regard.
Given Hillary Clinton's ego and her seeming belief that no one is better suited to be President then herself, I would imagine her viewing an offer of the Vice Presidency as an insult.

I think the appropriate term would be Co-President, VP wouldn't really do her justice... As for her running as VP... she would do ANYTHING to be in or near the office again... ANYTHING... did you hear that Obama?

No way. She is too proud. Think Bill is going to be First vice-gentleman, instead of First Gebtlemen?? Hah! Hillary is too proud to play second fiddle to anyone... she doesn't even play 2nd to Bill!!
Hillary must win so the North American Union can go forward as planned. Bill started it with NAFTA in 1993, Bush continued with the SPP in 2003, and Hillary (is set to) finish it and create the Union.
As a VP, Hillary cannot do that and that would be un-acceptable to her.
I don't think she'd be offered the job, and if she was I don't think she'd take it.
Right now she is hugely ahead and will most likely get the nod... for her not to something catastrophic would have to happen and that would also knock her out of the running for VP. The only thing she has against her is that Republicans don't like her (as well as them trying to keep alive Bill's tangles with them) and folks might show up specifically to vote against her... that would be true if she was at the bottom of the ticket or the top.
I also think that she would say no to the job because being a powerful senator from NY is probably a much better job than 2nd banana to a less experienced politician. There are only a few candidates in the running who have more experience than her, and they are not likely to win. The only ones with a chance to win over Hillary are Edwards and Obama, and they are much more green, when compared to Mrs. Clinton.
