I am looking at a 1million dollar commercial property. Fully leased. I have $50,000, but need another $175,000 to probably do the deal. I am assuming 20% down + closing costs. Would a bank allow me raise the $175,000 capital from outside investors in this scenario? Do i need to file with the SEC to raise capital?

My thought was that I would pay the investors 10% interest per year, and return their money after 3 years. The cap rate on the property is 15%.

Expect 25% down and an adjustable rate loan. I know nothing about the SEC aspect.

SEC has nothing to do with a private investment deals.
