I ran into a new situation where a meeting announcement was suddenly accompanied by a declaration that the only two items to be voted on at the annual meeting are the minutes approval and the slate of new Board members. "No other items can be voted on unless they are included on an absentee ballot mailed to every member."

I don't have the original documents for the organization, but in my experience, as long as there is a quorum, anyone can make a proposal, and anything can be voted on. What's your experience? A friend told me to check Arizona business corporation law, and I've been poking around online, but can't find anything relevant.

The neighborhood association board that I am a member of has a requirement that in order to vote on something it must be listed on the agenda as an action item at least 10 days before the meeting. I would imagine that that sort of this is pretty common.
