Highlander with the 2nd row captains chairs comes to mind.
Hyundai Santa Fe also fits the requirement.
The Kia Sorrento should also fit the requirement as Hyundai and Kia are just about the same.
Check the Toyota Certified pre-owned list. Powertrain warranty gets you the remaining of 100,000 miles. You'd be surprised by how many get rid of a car very quickly and it's not uncommon to have 50-60k of powertrain warranty remaining. New Toyota comes with 60k powertrain. I think the $40k budget will get you a new Highlander on one of the lower level trims or if you can haggle them down some. Might depend where you are located, though.
Hyundai/Kia come with 10 year, 100,000 mile powertrain, that was a factor in us having bought them. Only time we've had an issue was when one of the catalytic converters got clogged up last Thanksgiving. It was covered under warranty to the tune of $3,200. You definitely get more creature comforts with the Korean lines than you do with the Japanese lines and the Korean lines are likely to discount more which should bring you well under $40k.
However, I would test drive all of them and watch some online video reviews before making a choice.

Ford Explorer has 3 rows, and has an option of 2nd row captain's chairs. We have a 2016 and it's great. Interior feels nicer than the Toyota Highlander and Honda Pilots we looked at. Very quiet, and has a lot of room in back without being as big as the Yukons/Suburbans. Ours has the traditional bench seat 2nd row, but my sister has a 2016 Explorer with 2nd row captain's chairs.
FYI....ours is an XLT trim with leather and has the navi, bluetooth, cameras, etc and we got it new in the low $30s after some dealing. Ford will definitely deal more than Honda or Toyota! Nissan is more willing to deal as well....the Pathfinder has 3 rows, as does the Armada.
Check out the Dodge Durango. We purchased a new 2016 Durango R/T last year and we love it. It has the 2nd row captains chairs and the 3rd row can actually fit a full size human comfortably.
We are looking at getting a new\used SUV, requirements it must meet are. Three rows, 2nd row captain seats with access to the back thru the middle, no folding down a seat, AWD or 4X4 and can't be a minivan. Would be nice if it was under 40k. Any ideas on what would hit all these requirements?
Dodge Durango.....Not sure if you'll find a used on for under $40. I bought mine in 2014 for significantly more, but it was brand new. Mine has 3 rows, holds 7 adults, captain's chairs in the second row, AWD, mine is loaded. I wanted to be pampered since I spend so much time traveling for work.
2016-earlier GMC Acadia; 2017-earlier Buick Enclave or Chevrolet Traverse
My wife is 5 feet and can sit in the third row but it is definitely for kids and/or tiny adults. Besides a Suburban I don't know of a SUV where the third row isn't that way though.

Highlander is most definitely on the list as its been an option for years. Once again, it's an option; you pick that option you get, you don't pick that option, you get plain old 2nd row seats.

Silly me looked at Highlander, not at Toyota Highlander.
Thought my Limited had all blows and whistles. Go figure.
The Traverse and the Highlander are options but definitely test drive those. The third row seat is very cramped and suitable more for young children.
I actually had 6 adults in my Highlander Limited and their luggage. Myself and five adults. I'd not say my son and daughter in law are children. What 3rd row does though is it steals cargo space a lot. They had to carry some of the luggage in their laps.
