When I was in Florida, I have registered an LLC. Now that I have moved to Virginia, I would like to register an LLC here with the same name (I checked the name is not used in Virginia)
Now my questions is, do I get to keep the same EIN, and register again in Virginia (Without dissolving in Florida first).
I would like to keep Florida LLC until end of this year or march 2012 and then dissolve it.
EIN is a federal (not state-level) identifier, so I'm pretty sure you could keep that the same. I would honestly just try looking up information on Florida & Virginia's state business information websites.
You have a number of options. These may or may not be accurate for all states though, it depends.
Liquidate the old LLC and form a new one. I'm not sure if you can keep your old EIN this way however.
Register what's called a "foreign LLC" in VA, which would basically allow you to operate your old LLC in the state of VA. You'll be paying duplicate fees etc. though since both LLCs will still be active.
I have heard that you can form a new LLC and merge the old LLC into it, but I'm not quite sure how this works. You'd have to just contact VA about this.
Boy, having owned four different corporations, I wouldn't ask a bunch of guys on a message board for an opinion on this. I'd hie myself to a really good attorney and ask this question. Chances are it will be worth the few hundred bucks it will cost you.
I think I will close the FL LLC when I file annual report this fiscal and open one in VA.
