I've noticed that some classes in grad school do in fact give out a "Gentlemen's B." That is, if you show up and do all the work (which is a considerable amount), then you will get at least a B.

Obviously this will vary by school and subject

Overall GPA is not that important but we can't make more than 2 "C"s in my program.

A B in your PhD program meant a significant deficiency? In mine Bs were very normal. Most of my professors said if you were getting As in all of your classes you weren't spending enough time doing research.

A final GPA of between a 3.5-3.75 is very common in PhD programs and not once has anyone asked me what my actual GPA in grad school was.

So it matters only in that you need to maintain a B average to graduate.
