Price seems ok, you likely can get a cpo from the dealership for the same price. Overall a very solid car and the E350 represents the best "value" on the merc used market and offers reliability.
...and put in the VIN to see what options it came with from factory. That will tell you all the option packages it has and will give you a good way to compare different cars instead of just price and mileage. I have an E550 for example, getting ventilated seats is not a very common option, but it was a $1500 one and it was a must have for me living in TX. So picking between cars just on mileage and price wasn't cutting it for me, and since Mercedes gives you lots of options as standard, you really have to know what you're looking for to see why one car is worth thousands more than another.

If you've never owned a Mercedes, they're not a cheap to own. At least this is a "Mercedes", not a cheap crappy C Class. To get the oil changed at the dealership, expect with Mercedes A service, to pay $250.00 to $325. To get the B service, expect to pay over $500.00 but that also gets the car detailed. Recommended oil changes at 9000 miles US but I would change that to 7500. The Mercedes engines are prone to sludging the engines. Might pull the oil fill cap and check to see if there is any milky substance on it. If so, sludging has already started. Apparently the current owner has changed the wheels and tires as the build sheet says 18" Uniroyal tires. You description says 17" AMG wheels. Tires at 27,000 miles can be an expensive investment. I'd look close to how many miles and how worn are the rear tires. If the current owner is heavy footed and hasn't rotated tires, they will be worn more than the front. Assuming no leather interior? Leather will need to be cleaned and treated every year with something like Lexol or it will crack open. I'd look at the rear wheel area for the drum brakes. Since the Owner has changed the wheels, it's likely he also got rid of the drum rear brakes and changed to disc brakes on the rear. Every modification lowers the price. I think the price is a little tall. A fair and reasonable offer of 28 grand is where I'd want to be on the car. Otherwise, I'd be checking with the Mercedes dealers and buy a Certified car. It comes with warranty and it won't cost you more, probably less considering car sales are in the toilet. Dealers are wanting to make deals and are hungry. Don't hesitate to make a lower offer than the asking price- 10-15% lower than asking price.

Wouldn't CPO be the way to go on *any* second-hand Euro sedan or coupe?
The question is rhetorical, obviously that's one way to mitigate the risk on what could be a major mistake. They tend to plummet in value over time for good reason, as executives buy or lease then dump them at five years or so for something else. They don't care. Being in such a position these days, I certainly wouldn't.
Long ago, had my E30 325ic, which was at the time six years old, thoroughly gone-over by a 3rd party BMW guy. He found one issue that didn't really bother me. I bought it and drove the wheels off the BMW for seven years with very few complaints, the one car I'd love to have back if and only if I had a five car garage on an estate (no, and no, in my case).
Less long ago but still more than a decade past, had an E39 540i Sport inspected by a third party...my dad. He missed some stuff. Not the greatest car I've ever owned, caveat emptor. E39s were and are known to need work, yet they aren't terribly hard to work on either: helped my friend replace the water pump on his son's '01 530 last weekend, and it wasn't difficult at all with good tools and patience. Ditto other systems on the car he's been into, including the brakes and suspension. At 130K miles, it needs TLC fairly often but who cares since he didn't pay more than five grand for it to begin with. Half the fun is digging into the car with his son to teach fundamentals of repair.
Last year, bought a CPO 911 GTS from a P-car dealer I know stands behind the products. Nothing has gone wrong, it's a cherry, but I still needed that piece of mind given magnitude of the purchase.
I think anyone using their head, either CPO or with a thorough inspection, is hedging their bet about as much as one can on a used car. If I needed another sport sedan...I won't, in the near term...I'd take a close look at those E350s or (more likely) E63 AMG or BMW M5 since I gave up driving boring suburban dentist cars years ago.

This one has the Avantgarde suspension... which is the non active suspension. Regular shocks and struts, which I also have in my E550. That's actually another plus for the car the OP found IMO, it is difficult to find a well equipped E class that doesn't have the airmatic suspension.
