I am uncertain if they can legally deny COBRA coverage.

You guys someone already stated above that they only are required to offer the same coverage they offer to employees. In this case there will be no employees left, no health plan, and no requirement.

Once again, COBRA continued coverage is required to be offered to qualified terminated employees the same as offered to active employees. If a company has no active employees or decides to end health care for active employees, terminated employees are legally cut off as well. If you have anything authoritative that says otherwise, please post it for all to see!

Now, there are some states that requires a health care plan weaning off period, (some a month, others until end of current month, to give everyone time to apply for individual coverage, but it's state law not under COBRA.
